TOEI Animation INTRODUCES STOCK OPTION PLAN FOR EMPLOYEES

– Toei Animation CO.,LTD. (4816.T) announced the introduction of a stock option plan (ESOP) aimed at enhancing employee engagement and long-term retention.

The initiative was approved during a board meeting held. Under the ESOP, eligible employees who meet certain criteria will receive shares of the company's common stock based on their performance points. The trust fund, managed by Mitsubishi UFJ Trust and Banking Corporation and Sumitomo Mitsui Trust Bank, will purchase the shares using funds entrusted by the company. The trust period runs from August 5, 2026, to August 31, 2029. The total amount entrusted to the trust is expected to be ¥510.0 million, which includes fees and expenses.

Employees will receive shares or cash payments corresponding to their earned points upon retirement or the next fiscal year. Dividends received from the trust-held shares will be distributed similarly to those from regular shareholders. However, voting rights associated with the trust-held shares will not be exercised throughout the trust period. In case of surplus shares or funds remaining at the end of the trust period, the company plans to either continue utilizing the trust for similar purposes or dissolve it by transferring the residual shares back to the company free of charge. Any excess dividend income beyond the trust expense reserve will be donated to non-affiliated organizations.
