Seiko Group to Add Cash to Board Benefit Trust

– Seiko Group Corporation (8050.T) announced that it resolved to make additional cash contributions to its Board Benefit Trust (BBT). The decision was made during a board meeting held on August 07, 2026.

The trust, established based on a contract with Mizuho Trust Bank Co., Ltd., will receive an amount of ¥4 billion on August 24, 2026 to secure funds necessary for future payouts related to stock grants. The company plans to acquire up to 400,000 shares of its common stock through off-market transactions primarily from the exchange market between August 24, 2026, and September 11, 2026. Since introducing the program in 2018, Seiko Group has expanded its scope to include executive directors of its subsidiaries and company executives.

In June 2022, the company added its own executive officers to the program's beneficiaries. Details of the program’s modifications, including changes to contribution limits and point allocations, were previously disclosed on May 10, 2016. Prior adjustments included raising the cap on contributions and points granted to executive directors and subsidiary executives, as approved in annual shareholder meetings since 2016.

Most recently, the limit on contributions to the trust was abolished, effective from the June 2026 shareholder meetings.
