Willdo to Delist Shares and Transfer All Equity to SIVA Corp.

– WiLLDo Inc. (5617.T) announced today that it has decided to apply for delisting from the TOKYO PRO Market following approval at an extraordinary shareholders’ meeting held earlier.

The company also plans to transfer all equity to SIVA Corporation (SIVA), making it a wholly-owned subsidiary. The decision was made based on the belief that joining a group with substantial capital and synergistic potential would further expand WiLLDo’s business. After due diligence, WiLLDo reached an agreement with SIVA on the share transfer contract. SIVA, established in August 2024, specializes in vertical software holdings and aims to amplify growth opportunities through strategic mergers and acquisitions while fostering a collaborative environment among member companies.

Key milestones include submitting the delisting application, with the expected delisting date set for August 27, 2026. The equity transfer is scheduled for September 11, 2026. Following submission of the delisting application to the Tokyo Stock Exchange, WiLLDo's shares will be designated as a special issue stock until delisting, according to the Special Provisions on Listed Securities and related regulations. Additionally, WiLLDo intends to strengthen its advertising and marketing support services for the beauty industry through collaboration with Squad Co., Ltd., a digital advertising and marketing SaaS/platform provider within the SIVA Group.
