Uchiyama Holdings Reports No Exercise of Second and Third Tranche Warrants in July

– Uchiyama Holdings CO.,LTD. (6059.T) reported that no shares were delivered or warrants exercised for its second and third tranches of warrant issues in July 2026.

The company had previously issued these warrants in January 2024, which allow conversion into exercise price-adjustable warrants upon board resolution. However, as of August 3, 2026, the board has not made such a decision, leaving the exercise prices unchanged. For the month of July, neither tranche saw any exercises: - The second tranche had no deliveries or exercises, representing 0% of the total issuance.

- Similarly, the third tranche also recorded no deliveries or exercises, accounting for 0% of the total issuance. As of the end of June, there were 450,000 outstanding warrants for both tranches. By the end of July, this number remained unchanged at 450,000 for both tranches.

Additionally, Uchiyama Holdings confirmed adherence to the exercise restrictions stipulated by the Tokyo Stock Exchange's Securities Listing Regulations Article 434 and the Japan Securities Dealers Association's Rules Governing Subscription Rights Issues to Third Parties, noting that since no conversion resolutions have been passed, there are currently no exercise limitations based on these regulations.
