Trailhead Global Holdings Reduces Capital Reserve and Distributes Surplus

– Trailhead Global Holdings,inc. (3358.T) announced that the reduction of capital reserve and distribution of surplus, previously disclosed on May 15, 2026, was approved at the regular shareholders' meeting held in June 2026.

All necessary procedures under the Companies Act were completed, making the effective date July 31, 2026. Under the reduction plan, the entire amount of capital reserve, totaling ¥1.085 billion, will be decreased. Following the implementation, the remaining capital reserve will stand at ¥0. According to Article 448, Paragraph 1 of the Companies Act, the reduced capital reserve will be transferred entirely to additional paid-in capital.

Furthermore, pursuant to Article 452 of the Companies Act, the transferred additional paid-in capital will be used to cover losses in the carried-forward profit surplus. Specifically, the reduction in additional paid-in capital is ¥635.3 million, while the increase in carried-forward profit surplus is ¥635.3 million. Key milestones included the board resolution on May 15, 2026, shareholder approval on June 26, 2026, expiration of creditor objection period on July 30, 2026, and the effective date. Looking ahead, the company stated that this transaction involves merely a reallocation within equity accounts on the balance sheet without altering total equity.

As it is awithout share repurchase, there will be no changes to the number of outstanding shares or per-share net asset value for shareholders.
