Tokai Holdings to Sell Shares for Board Benefit Trust on August 21

– TOKAI Holdings Corporation (3167.T) announced that it will sell ordinary shares totaling 161,000 on August 21, 2026, to the Japan Custodian Bank (Trust E Account). The sale price per share is set at ¥1,106, resulting in a total value of ¥178.1 million.

This action follows a resolution made during a board meeting held, and is part of the ongoing implementation of the Board Benefit Trust (BBT) program initiated in 2016. The purpose of this share disposal is to support future benefit distributions to directors and executive officers based on the BBT framework. According to the regulations outlined in the "Director Share Grant Guidelines," the number of shares being sold corresponds to the anticipated grants over three fiscal years ending March 2028.

As of April 10, 2026, this represents approximately 0.12% of the outstanding shares, or 0.12% of the total voting rights. Additionally, TOKAI Holdings will make an additional cash contribution to the trust on the same day, amounting to ¥178.1 million, which will enable the acquisition of 161,000 ordinary shares through the resale of the disposed shares. The decision was made considering the reasonable dilution impact aligned with the initial objectives stated in the May 10, 2016, announcement regarding the introduction of the BBT system.
