NTT to Amend Equity-Based Compensation Plan, Increase Cash Contributions
TOKYO, Aug 06 (Pulse News Wire) – Ntt,inc. (9432.T) announced today that it has decided to increase cash contributions to its equity-based compensation plan for directors and executive officers, effective immediately.
The changes follow adjustments made to the company's mid-term management strategy, which was revised during the April 8, 2026 board meeting and approved at the 41st annual shareholders' meeting held on May 8, 2026. Under the amended plan, the performance-linked stock incentive program now covers seven fiscal years ending March 31, 2031, compared to the previous four-year term. Additionally, several major subsidiaries, including NTT Data Group, NTT Data Corporation, NTT DATA, Inc., and NTT DOCOMO Financial Group, have been included in the scope of the program. The total amount of additional cash contributions is expected to be ¥7.220 billion, which includes existing funds remaining in the trust.
The trust agreement for the program specifies that Mitsubishi UFJ Trust and Banking Corporation acts as trustee, while Nomura Trust and Banking Co., Ltd. serves as co-trustee. Beneficiaries will be former directors who meet certain eligibility criteria. Shares will be acquired from the open market between August 12, 2026, and August 24, 2026, excluding the five trading days prior to the end of each accounting period.
