Seiko to Amend Articles of Incorporation at Upcoming Shareholders' Meeting
TOKYO, May 21 (Pulse News Wire) – Seiko Corporation (6286.T) announced plans to amend its articles of incorporation at its upcoming annual shareholders’ meeting scheduled for June 25, 2026. The amendments aim to strengthen corporate governance by transitioning from a company with an audit committee to one with an audit oversight committee.
This transition includes establishing provisions for audit oversight committee members within the board of directors and removing existing regulations related to auditors and the audit committee. Additionally, the company will introduce changes to the term lengths for certain roles and clarify methods for appointing directors and their compensation.
The proposed amendments will be presented for shareholder approval during the meeting set for June 25, 2026. If approved, the changes will take effect on the same day.
