Nippon RAD to Amend Articles and Nominate Substitute Auditor

TOKYO, May 18 (Pulse News Wire) – Nippon RAD Inc. (4736.T) resolved today to propose amendments to its articles of incorporation and nominate a substitute auditor at its upcoming 55th annual shareholders' meeting scheduled for June 24, 2026.

The proposed amendment includes establishing provisions for appointing substitute auditors to ensure compliance with legal requirements for auditor numbers. It also clarifies the term of office for substitute auditors who take up their roles. The amendments are set to take effect on June 24, 2026, contingent upon shareholder approval.

Additionally, the company nominated Okuno Hitoshi as a candidate for the position of substitute auditor. Okuno, born on July 18, 1964, has extensive experience within the company's operations, having served in various leadership roles since 2015, including his current positions as Executive Officer and Deputy Solution Business Unit Manager. Okuno’s nomination is based on his deep understanding of the company’s operations gained through long-term involvement in key decision-making processes, despite not having previously held direct executive responsibilities.

The board believes he possesses the necessary skills to effectively fulfill the duties of an auditor.
