Loadstar Capital to Buy Back Fractional Shares Resulting from Rights Issue

– Loadstar Capital K.K. (3482.T) announced today that its board of directors resolved to repurchase fractional shares resulting from a rights issue based on Article 234, Paragraphs 4 and 5 of the Companies Act.

The rights issue was conducted on June 12, distributing one share for every five held. As a result, the company plans to buy back 363 ordinary shares at their closing price, as determined by the Tokyo Stock Exchange. Under the provisions of the Companies Act, the company will purchase these fractional shares at the closing price of its ordinary shares on the Tokyo Stock Exchange on the day of the repurchase, which is set.

The total amount paid for the repurchased shares will be calculated by multiplying the number of shares being bought back by the closing price of the company's ordinary shares on the same day. This resolution follows the decision made during the board meeting held on July 1, 2026, to address the fractional shares arising from the rights issuance. The company’s CFO, Takuya Kawabata, stated that this move ensures fair treatment for shareholders affected by the fractional shares.
