KOEI Chemical Company Chemical to Cancel All Own Shares Before Acquisition by Sumitomo Chemical

– Koei Chemical Company,limited (4367.T) announced that its board of directors resolved to cancel all own shares based on Article 178 of the Companies Act. This decision follows the share exchange agreement signed on May 13, 2026, with Sumitomo Chemical Co., Ltd.

According to the agreement, Sumitomo Chemical plans to acquire all outstanding shares of KOEI Chemical except those it already holds, effective August 1, 2026. As per the contract terms, KOEI Chemical will cancel all own shares immediately prior to the completion of the acquisition.

The cancellation includes all own shares held by KOEI Chemical, which consists of shares acquired through mandatory buyback requests under Article 785 of the Companies Act. As of March 31, 2026, KOEI Chemical had a total of 4,900,000 outstanding shares, out of which it held own shares amounting to 8,980.

The cancellation is scheduled to take place on August 1, 2026, at the designated time preceding the acquisition completion.
