Japan Lifeline to Distribute Own Shares Under Board Incentive Plan on Aug 20

– Japan Lifeline CO.,LTD. (7575.T) announced that it will distribute own shares under its Board Incentive Plan (BIP) trust on August 20, 2026.

The company plans to dispose of ordinary shares totaling 163,600 at a price of ¥1,450 per share, resulting in a total amount of ¥237.2 million. The shares will be transferred to Japan Post Trust Bank (BIP Trust Account). This distribution aligns with the company's goal of enhancing alignment between executive compensation and performance, aiming to boost long-term performance and corporate value.

The dilution rate is expected to be 0.23% of the outstanding shares based on the number of voting rights as of March 31, 2026 (701,961). The disposal price was determined based on the closing price on the Tokyo Stock Exchange on July 29, 2026, which was ¥1,450. All three audit committee members confirmed the fairness of the pricing method.

Additionally, the company noted that since the dilution rate is below 25% and there is no change in controlling shareholders, no additional procedures such as obtaining opinions from independent third parties or shareholder approval are necessary according to Tokyo Stock Exchange regulations.
