J-Holdings Corp. Rejects Shareholder Proposal Amid Governance Concerns

Ltd. for a special shareholders' meeting scheduled for June 15, 2026. The board cited governance issues related to proposed director candidates and their affiliations. On June 15, 2026, Noah Group Holdings requested a special shareholders’ meeting to propose three new directors, including Yoshiru Nakamura. However, the board found discrepancies in Nakamura's credentials, such as his status as a certified small and medium enterprise consultant and his role with Vietnamese and Indonesian entities.
Additionally, the board questioned the transparency of Noah Group’s shareholding structure and reported delays in filing necessary reports. Specifically, the board noted that Nakamura had not updated his certification as a small and medium enterprise consultant since 2025. Furthermore, his affiliation with Vietnamese and Indonesian organizations was misrepresented. Regarding Noah Group’s shareholding, the board uncovered inconsistencies in reporting large holdings and joint ownership with senior executive Masayuki Oshiba, raising concerns about regulatory compliance. Given these findings, the board concluded that neither Nakamura nor Oshiba should be appointed as directors due to unresolved legal and operational irregularities.
