Honda Motor Announces Changes to Board Composition and Executive Roles

– Honda Motor CO.,LTD. (7267.T) announced changes to its board composition and executive roles effective June 1, 2026, and at the upcoming annual shareholders' meeting scheduled for June 2026.

The changes follow a resolution made during today's Nomination Committee meeting. Newly appointed director candidate Shinya Shikama, currently a senior managing officer at Honda Technical Research Institute, will join the board and take up an executive role. However, due to recent adjustments, the previously announced candidates for the June 2026 shareholder meeting have been revised. Effective June 1, 2026, Shikama will also transition from his current position as Senior Managing Officer at Honda Technical Research Institute to an executive role within the company. Additionally, Kazuhiro Osawa, who was serving as an executive vice president, will step down from his position.

In further restructuring efforts aimed at enhancing strategic execution and transparent decision-making, the company plans to review its governance structure. Specifically, the board composition will shift towards having a majority of outside directors, alongside reforms to committee structures and operational frameworks. At the upcoming annual shareholders' meeting, there will be significant changes to the nomination and remuneration committees, with all members being outside directors to ensure greater transparency in decision-making processes. Furthermore, the chairperson of the board will be an outside director to improve overall effectiveness. This realignment reflects Honda’s commitment to robust strategy implementation and clear, accountable leadership.

The updated organizational chart includes detailed positions for key executives and directors, ensuring continuity and clarity in leadership roles leading up to and following the annual shareholders’ meeting.
