Cosmos Initia Adjusts Executive Compensation Plan and Approves Share Repurchase
TOKYO, May 20 (Pulse News Wire) – Cosmos Initia CO.,LTD. (8844.T) announced today that its board of directors revised the restricted stock compensation plan originally approved by shareholders in June 2022.
The changes aim to enhance incentives for executives to sustainably improve corporate value and further align their interests with those of shareholders. The updated plan requires approval at the upcoming annual general meeting scheduled for June 24, 2026. Under the amended plan, executive compensation will consist of monetary awards converted into shares of the company's common stock. The total amount of such awards will be capped annually at ¥30 million (up to ¥90 million cumulatively over three years).
Additionally, the number of shares issued or distributed under the plan will be limited to 30,000 shares per year (cumulative limit of 90,000 shares over three years). To secure shares for distribution under the revised plan, the company also decided to repurchase up to 150,000 shares ordinary shares (representing 0.44% of outstanding shares excluding treasury stocks) during the period from June 25, 2026, to September 30, 2026. The total cost of the share repurchase will not exceed ¥200 million. As of March 31, 2026, the company had 33,895,440 ordinary shares outstanding (excluding treasury stocks) and held 15,779 treasury shares.
