AIDA Engineering to Amend Articles of Incorporation at Annual Meeting

TOKYO, May 15 (Pulse News Wire) – Aida Engineering,ltd. (6118.T) announced today that its board of directors resolved to propose amendments to the company's articles of incorporation at the upcoming 91st ordinary shareholders' meeting scheduled for June 25, 2026.

The proposed changes aim to allow non-executive directors and auditors to enter into liability limitation agreements, enhancing their ability to fulfill expected roles. Specifically, Article 29 (Exemption of Directors’ Liability) and Article 38 (Exemption of Auditors’ Liability) of the existing articles will be modified accordingly. Notably, approval for the amendment to Article 29 has been obtained from all external auditors.

The revised provisions stipulate that the company can conclude contracts limiting liability for damages up to the total amount specified under Article 425(1) of the Companies Act with non-executive directors and auditors. The amendments also maintain the status quo for certain sections of the articles. The shareholder meeting to approve these changes is set for June 25, 2026, with the effective date of the amendments also planned for the same day.
