Yakult Honsha to Dispose of Shares for Board Benefit Trust Program

– Yakult Honsha CO.,LTD. (2267.T) resolved at its board meeting today to dispose of ordinary shares worth approximately ¥990.8 million on August 17, 2026, to Nippon Custodian Bank (Trust E Account).

The disposal involves 341,300 shares at a price of ¥2,903 per share. This action follows the introduction of the Board Benefit Trust-Restricted Stock program (BBT-RS) disclosed earlier this year on February 10, 2026, and May 12, 2026. The trust agreement, effective August 17, 2026, designates Yakult Honsha as the settlor, Mizuho Trust & Banking Co., Ltd. as the trustee, and Nippon Custodian Bank as the sub-trustee. Beneficiaries will consist of eligible directors and executives who meet the stipulated conditions within the trust regulations.

The trust duration extends indefinitely until the BBT-RS program ceases operation.
