Waseda Academy reases Funding for Equity Compensation Plans
TOKYO, Jul 31 (Pulse News Wire) – Waseda Academy CO.,LTD. (4718.T) announced plans to increase funding for its existing equity compensation programs aimed at directors and employees.
The company will extend the trust agreements known as the Board Incentive Plan (BIP) Trust and Employee Stock Ownership Plan (ESOP) Trust through additional cash contributions. Under the BIP Trust, which was introduced in 2017 and last amended in 2021, the company will allocate funds to purchase shares based on performance metrics and seniority levels. The extended period runs from September 1, 2026, to August 31, 2029. Additional funding of July 31, 2026 is expected to be injected into the BIP Trust on August 17, 2026, with share acquisitions planned for August 20, 2026.
For the ESOP Trust, established in 2026, similar provisions apply but involve employee beneficiaries. The ESOP Trust will also undergo modifications to continue aligning with the company's long-term objectives. Additional funding of May 25, 2017 is anticipated for the ESOP Trust on the same date as the BIP Trust. Both trusts aim to enhance the alignment between executive and employee incentives and corporate performance, fostering sustained growth and increased enterprise value.
