Vega Corporation to Transfer Cross-Border EC Platform Business to Reed Healthcare

TOKYO, Jul 31 (Pulse News Wire) – Vega Corporation CO.,LTD. (3542.T) announced on July 31 that it has entered into a basic agreement with Reed Healthcare Co., Ltd.

For the transfer of its cross-border e-commerce platform business, Dokodemo. The decision was made during a board meeting held on the same day. The Dokodemo platform, launched in December 2015, connects domestic products with overseas consumers. However, due to recent geopolitical instability and rising logistics costs, the company believes transferring the business to Reed Healthcare, which has extensive operations in Herusukea Ryouikitou, would maximize future value. Reed Healthcare's parent company owns Star Network, a major vendor on Dokodemo. Key financial metrics for the Dokodemo business as of March 2026 include revenue of ¥340 million and operating profit of -¥5 million. Asset and liability details remain undisclosed pending further negotiations.

The transaction price and payment method are also non-disclosed items. The preliminary agreement was signed on July 31, with plans to finalize the deal on October 30, 2026 and complete the transfer by December 1, 2026. Reed Healthcare, headquartered in Fukuoka, Fukuoka Shi Hakata Ku Higashi Hi Megumi, operates pharmacies and retail stores selling general pharmaceuticals and health care products. It has a capital of ¥1.900 billion and was established in July 1967. Major shareholder Forest Holdings indirectly holds 53.7% of the shares. The company remains private, and confidentiality agreements prevent further disclosure of operational data. This transfer is expected to have minimal impact on Vega Corporation’s overall performance.
