Ureru Net Advertising Group CEO to Step Down as Controlling Shareholder Post-Reorganization
TOKYO, Jul 27 (Pulse News Wire) – Ureru Net Advertising Group CO.,LTD. (9235.T) announced that CEO Shigeru Kiwahara will cease being the controlling shareholder post-reorganization scheduled for July 27, 2026.
As part of the reorganization, the company plans to issue new shares through stock deliveries with Step y’s and ParrotBees, and a stock exchange with International Traditional Medicine Research Institute. Following the issuance of new shares, Koichi Kato Leo and his co-shareholders' voting rights will fall below 50%, thus ceasing their status as controlling shareholders. Kato, who currently holds 55.02% voting rights, will remain a major shareholder but lose control due to the dilution effect of the new share issuance. His address remains Fukuoka, Fukuoka Shi, and he continues to serve as a director of the company.
The total number of shares held by Kato and his co-shareholders will not change. In the future, Kato will retain significant influence as a major shareholder despite losing control. The company stated that this restructuring will not impact its management structure or performance. The changes are set to take effect on August 10, 2026, marking a shift in the company's governance without altering the overall stakeholding landscape.
