Following reports suggesting that a specific individual (referred to as "Mr. A") and their associates had significant influence over the company's operations and important decision-making processes, the board decided to set up the Third Party Special Investigation Committee during a meeting held on June 26, 2026. The investigation aims to address several key areas: 1. Identify any personal or transactional relationships between Mr. A and his associates with Unbanked Group employees. 2. Assess whether Mr. A and his associates exerted influence over the company’s management, personnel appointments, transactions, funding, information management, litigation responses, and other crucial decisions. 3.
Propose recommendations to address governance weaknesses and prevent future occurrences. Background for the establishment includes multiple reports, certified mail, whistleblowing, and information provision indicating Mr. A's involvement in the company's operations. Despite emails sent to all directors for confirmation, some directors did not respond, leading the company to conclude that internal investigations alone would lack sufficient independence, objectivity, and effectiveness.
