TOKYO, May 25 (Pulse News Wire) – U-next Holdings CO.,LTD. (9418.T) announced today that it has entered into a share transfer agreement to acquire shares of animation production firm GoHands and make it a subsidiary based on a resolution passed at its board meeting held on May 25, 2026.
The acquisition aims to strengthen U-Next's revenue structure through IP-related businesses and create significant synergies with its content distribution business. Key expected benefits include cost optimization leveraging GoHands' expertise and facilities, improved productivity and quality through the provision of advanced digital technology, and maximizing the value of self-created IPs by combining them with high-quality animation production capabilities. GoHands, established on August 08, 2008, operates out of Osaka, Osaka Shi Yodogawa Ku Nishi Nakajima, 4-4-16, with a capital of ¥7 million. Its major shareholder, Shinogami Suzuo, holds 100.0% of the shares. In recent fiscal years, GoHands reported total assets of ¥237.0 million, ¥238.6 million, and ¥254.4 million; operating losses of ¥1.3 million, ¥19.2 million, and ¥1.9 million; and net losses of ¥270 billion, ¥545 billion, and ¥518 billion for the fiscal years ending July 2023, 2024, and 2025, respectively.
The transaction involves acquiring 175 shares, which represents a voting rights stake of 100.0%. The deal is scheduled to close on June 01, 2026. The purchase price remains undisclosed due to confidentiality agreements but was determined fairly based on GoHands’ projected business plan and valuation methods. Looking ahead, U-Next anticipates minimal impact on its consolidated performance for the current fiscal period.
