TOTO to Amend Articles of Incorporation at Upcoming Shareholders' Meeting

TOKYO, May 18 (Pulse News Wire) – TOTO LTD. (5332.T) announced today that its board of directors has resolved to propose amendments to the company's articles of incorporation at its upcoming 160th ordinary shareholders' meeting scheduled for June 23, 2026.

The proposed changes aim to enhance corporate governance and streamline decision-making processes. Specifically, the number of directors (excluding audit committee members) will be reduced from the current limit of 14 to seven.

Additionally, dividend decisions will now require approval from either the board of directors or the shareholders' general meeting, increasing transparency and engagement with stakeholders. The shareholder meeting to approve these changes is set for June 23, 2026.

The amendments will take effect immediately upon approval on the same day.
