Toshin Holdings Tokyo High Court Rejects Shareholder Appeals Against Company Reorganization Decision

– Toshin Holdings Co.,ltd (9444.T) announced that the Tokyo High Court rejected shareholder appeals against the company's reorganization decision on August 03, 2026. The court dismissed immediate objections filed by shareholder Jet Corporation and individual shareholder Yuka Ishida on June 12, 2026.

The reorganization process was initiated on May 08, 2026, when Toshin Holdings applied to the Tokyo District Court for commencement of corporate rehabilitation proceedings. The court approved the application, appointing Masafumi Ishida and lawyer Taichiro Asataguchi as trustees. Ishida and Jet Corporation lodged their appeals on June 03, 2026, and June 08, 2026, respectively. The high court ruled that the company faced insolvency risks and recognized the legitimacy of the rehabilitation process aimed at restructuring the company while mitigating the influence of Jet Corporation and former CEO Shinjiro Ishida as shareholders.

Additionally, the Tokyo District Court also rejected separate applications seeking the removal of trustees Masafumi Ishida and Taichiro Asataguchi on July 16, 2026, and July 27, 2026. The company had previously resolved to file such requests during a special shareholders' meeting held on May 28, 2026, but these actions were not confirmed. Trustees Ishida and Asataguchi stated that the ruling reflects fair judicial judgment. They plan to continue implementing the restructuring plan outlined on May 08, 2026, and adhere to the improvement measures detailed in the report published on May 26, 2026, focusing on enhancing internal management systems and addressing various issues.
