Topre to Dispose of Own Shares Worth ¥744.4 million on June 2
TOKYO, May 14 (Pulse News Wire) – Topre Corporation (5975.T) announced that its board of directors resolved on May 14 to dispose of own shares worth ¥744.4 million as part of its stock-based compensation program. The disposal will occur on June 2, involving 305,967 ordinary shares at a price of ¥2,433 per share.
The shares will be transferred to Nippon Mitsubishi UFJ Trust and Banking Corporation (Roleiho Bip Trust Account). The purpose of this disposal is to continue the performance-linked equity compensation system for directors and executive officers since March 2017. This system aims to enhance alignment between their remuneration and the company's performance and stock value, fostering shared commitment among stakeholders and promoting long-term growth. The disposal follows the extension of the Roleiho Bip Trust contract period.
According to recent stock price movements, the disposal price was determined based on the closing price of Topre’s shares on the Tokyo Stock Exchange on May 13, which was ¥2,433. All three auditors, including two external members, confirmed the reasonableness of the pricing method used. The dilution ratio resulting from this disposal is expected to be less than 25%, deemed reasonable and unlikely to significantly impact the stock market. The company does not anticipate a significant outflow of shares into the market immediately due to the nature of the trust arrangement.
