Tokuden Sees Shareholder Changes After Transfer Completion

– Tokuden CO.,LTD. (3437.T) announced on July 17 that changes in major shareholders and related companies became effective following the completion of share transfers on the same day.

As previously disclosed on June 1, 2026, the transfer of shares held by Kōtsūshō Denki Co., Ltd. and its co-holders to Heiyama Holdings Co., Ltd. was finalized. Consequently, Kōtsūshō Denki Co., Ltd. ceased being a related company, while Heiyama Holdings Co., Ltd. became a significant shareholder and controlling stockholder. Heiyama Holdings Co., Ltd., headquartered in Tokyo, Minato Ku Kounan Ichi Choume, 8-40, 6th Floor, A-Place Shinagawa, has a capital of ¥571.9 million (as of March 31, 2026).

Founded on May 2, 1967, the company's net assets stood at ¥5.606 billion and total assets amounted to ¥12.84 billion as of March 31, 2026. Prior to the transfer, Kōtsūshō Denki Co., Ltd. held 4,299 voting rights, representing 26.7% percent of the total voting rights. Post-transfer, Heiyama Holdings Co., Ltd. now holds 26.7% voting rights, making up 26.7% percent of the total voting rights, thus becoming the top-ranked major shareholder. The overall impact on the consolidated performance of Tokuden CO.,LTD. is expected to be minor.
