TOKYO, Aug 06 (Pulse News Wire) – THE Nihon Seima CO.,LTD. (3306.T) announced on August 6 that it has decided to acquire shares of Food Operation Japan (FOJ) through a resolution made during a board meeting held on the same day.
FOJ operates ramen restaurants and provides consulting services related to restaurant management. The acquisition aims to leverage Nihon Seima's pasta manufacturing capabilities and FOJ’s expertise in restaurant operations to expand the “Ginza Hachi-go” brand domestically and internationally, enhancing the companies' synergy and developing new brands and sales channels. Key details of the acquisition include: - Number of shares acquired: 295 - Post-acquisition shareholding: 600 shares - Estimated due diligence costs: ¥7.8 million The transaction is scheduled to be completed on August 31, 2026.
Following the completion, FOJ will be consolidated into Nihon Seima's financial statements starting from the second quarter of the fiscal year ending March 2027. The impact of this acquisition on the company's performance for the fiscal year ending March 2027 is currently being assessed, and any significant developments will be disclosed promptly. FOJ's recent financial highlights show total assets of ¥223 million, ¥212 million, and ¥246 million for the fiscal years ended March 2024, 2025, and 2026, respectively.
Revenue figures stood at ¥263 million, ¥346 million, and ¥390 million for the corresponding periods.
