SYLA Holdings to Amend Articles for Virtual Shareholder Meetings and Board Changes

– Syla Holdings CO.,LTD. (8887.T) announced that at its board meeting held, it decided to propose amendments to its articles of incorporation to enable virtual shareholder meetings and increase the number of directors.

The proposed changes aim to enhance competitiveness and improve governance structures. The amendments will be put forward at the 48th Annual General Meeting scheduled for August 28, 2026, and take effect on the same day. The primary reasons for the amendment include enabling virtual shareholder meetings based on the Industrial Competitiveness Enhancement Act revised in 2021, and increasing the number of directors to accommodate higher standards for internal controls, compliance, and group management.

Additionally, the term validity for appointing alternate directors will also be adjusted according to the Companies Act Implementation Regulations. The detailed changes involve modifying Article 11 to allow for virtual meetings, changing the upper limit of regular directors from seven to ten in Article 16, and adjusting the term validity for appointing alternate directors in Article 18. The amendments will be effective immediately upon approval at the annual general meeting on August 28, 2026.
