Susmed Grants Free Stock Options to Employees

– Susmed, inc. (4263.T) resolved to issue stock options to its employees at a board meeting held on July 22.

The company plans to grant 1,330 stock options, allowing recipients to acquire up to 133,000 ordinary shares upon exercise. Each option represents the right to purchase 100 ordinary shares at a price determined based on the average closing price of SUSMED's ordinary shares on the Tokyo Stock Exchange in the month preceding the allocation date, multiplied by 1.05. Any fractional amount less than one share resulting from adjustments due to stock splits or consolidations will be rounded up.

The exercise period for these stock options runs from July 23, 2028, to July 21, 2036. Additionally, SUSMED emphasized that capital increases stemming from the exercise of these options would adhere to legal regulations, with the increase in capital being half of the calculated limit, rounding up any fractions. Furthermore, SUSMED outlined conditions under which the stock options could be acquired through transfers, requiring approval from the board of directors.

The company also detailed how these options would be handled during organizational restructuring events such as mergers, spin-offs, or share exchanges, ensuring continuity and alignment with applicable laws.
