Simplex Financial Holdings Holds Board Meeting to Approve Share Repurchase and Cancellation Plans
TOKYO, Jul 29 (Pulse News Wire) – Simplex Financial Holdings CO.,LTD. (7176.T) held a board meeting, to approve plans for share repurchases and cancellations based on Article 156 of the Companies Act, as amended by Article 165(3).
The company also decided to cancel shares according to Article 178 of the same act. The repurchase plan aims to execute flexible capital policies in response to changing business environments and enhance shareholder returns. The company intends to purchase up to 6,610,000 ordinary shares, representing 24.37% of the total outstanding shares, with a maximum value of ¥5.004 billion.
The buyback will take place through the ToSTNeT-3 system on July 30, 2026, at 8:45 AM. Additionally, Simplex Financial will cancel 6,610,000 ordinary shares, which account for 24.37% of the pre-cancellation outstanding shares, scheduled for cancellation on August 31, 2026. The cancellation will be contingent upon the completion of the share repurchase.
As of July 29, 2026, the company does not hold any treasury shares out of the total 27,120,000 outstanding shares.
