Sanki Service TO MERGE WITH SHIMENTE HOLDINGS ON DEC 1, 2026

TOKYO, Jul 15 (Pulse News Wire) – SANKI SERVICE CORPORATION (6044.T) announced plans to merge with SHIMENTE HOLDINGS effective December 1, 2026. Shareholders holding SANKI SERVICE shares will receive 1.920 shares of SHIMENTE HOLDINGS for each share held, with the final trading day set for November 26, 2026.

The merger requires approval from shareholders at the annual general meeting scheduled for August 28, 2026. Under the merger agreement, SANKI SERVICE's dividend policy will transition to SHIMENTE HOLDINGS' approach post-merger.

Additionally, the shareholder benefits program will cease after July 28, 2026, with the last benefit distribution made based on the July 27, 2026, record date. Any fractional shares resulting from the exchange will be settled through cash payments to affected shareholders two months after the merger takes effect.
