Sagami Rubber Industries Sets Up Nomination and Remuneration Committee

TOKYO, Jul 16 (Pulse News Wire) – Sagami Rubber Industries CO.,LTD. (5194.T) announced on July 16 that it has established a Nomination and Remuneration Committee as an advisory body to the board of directors.

The committee was set up during a board meeting held, to enhance the fairness, transparency, and objectivity of procedures related to director nominations and remuneration, thereby strengthening corporate governance. The committee's role includes reviewing matters such as the nomination and removal of directors (subject to shareholder resolution), the selection and dismissal of executive directors, and the compensation of non-audit committee directors.

It also advises on setting limits for director compensation (also subject to shareholder resolution) and other significant management issues deemed necessary by the board. Composed of three or more directors selected by the board’s decision, the committee ensures that at least half of its members are independent outside directors.
