Rhythm Acquires Shares of New Company Formed by Tohtec

– Rhythm CO.,LTD. (7769.T) announced today that its board of directors approved the acquisition of shares from a newly established company formed through a spin-off from Tohtec Co., Ltd.

The move aims to strengthen the quality, cost, and delivery (QC&D) standards within its precision parts manufacturing division and enhance supply chain resilience. The acquired company, which will commence operations on September 7, 2026, specializes in electroplating services such as tin and nickel plating. It will hold capital of ¥10 million. Currently, RHYTHM outsources electroplating processes essential for product quality and stable supply to Tohtec. By integrating this process internally, the company expects to bolster production efficiency and expand technological capabilities, aligning with its strategic goal of achieving sustainable growth through integrated manufacturing.

Tohtec, founded in 1968, holds a capital of ¥45 million. Major shareholders include the company itself with 44.5% and founder Satoshi Yasuhiro with 44.2% equity stakes. The transaction price remains undisclosed due to confidentiality agreements. Scheduled key dates include the signing of the share transfer agreement , and the anticipated execution of the share transfer on September 7, 2026. RHYTHM anticipates minimal impact on its consolidated performance for the fiscal year ending March 2027.
