Rarejob to Cancel All Own Shares Before Acquisition Completion
TOKYO, Jul 23 (Pulse News Wire) – Rarejob,inc. (6096.T) announced today that its board of directors resolved to cancel all own shares based on Article 178 of the Companies Act prior to the completion of its acquisition by Kyoritsu Holdings Corporation.
According to the agreement signed on May 15, 2026, Kyoritsu Holdings will acquire all outstanding shares of RareJob except those it already holds, effective July 31, 2026. In accordance with the terms of the share exchange contract, RareJob will cancel all own shares immediately preceding the acquisition's completion.
As of March 31, 2026, RareJob held 297,545 own shares out of a total of 9,845,600 issued shares. The cancellation of these shares is scheduled for July 31, 2026, marking the final step before the transition to Kyoritsu Holdings' control.
