The distribution will take place on July 24, 2026, involving RAKUS ordinary shares totaling 8,253. Each share will be valued at June 26, 2026, resulting in a total amount of ¥7.3 million. The purpose of this distribution is to incentivize sustained growth in the company's value while fostering greater alignment with shareholders. In addition to the board members, senior executives and executives will also receive restricted shares based on their roles and responsibilities. Senior executive and executive recipients will contribute monetary claims totaling ¥7.3 million as capital contributions, receiving ordinary shares in return. Under the restricted share allocation agreement, recipients cannot sell, pledge, or otherwise dispose of the allocated shares until they retire from the company.

The restriction period begins on July 24, 2026, and ends upon retirement. However, restrictions will be lifted earlier if the recipient remains employed continuously during the service period from the day preceding the annual general meeting immediately prior to the payment date through the next annual general meeting. In cases of death or other reasons deemed valid by the board, partial lifting of restrictions will occur based on the duration of employment. Additionally, RAKUS will acquire any remaining restricted shares without compensation once the restriction period expires. During the restriction period, the shares will be managed in dedicated accounts set up at Nomura Securities Co., Ltd. In the event of significant organizational changes such as mergers or spin-offs approved by the board, restrictions may be lifted proportionally based on the duration of employment.
