Quantum Solutions Adjusts Exercise Prices for Warrants and Conversion Rates for Bonds

– Quantum Solutions CO.,LTD. (2338.T) announced adjustments to exercise prices for warrants and conversion rates for convertible bonds due to a planned rights issue scheduled for August 24, 2026.

The exercise price for the 13th series of warrants (with adjustment clause) will be adjusted from ¥589 to ¥300. Similarly, the exercise price for the 14th series of warrants will be reduced from ¥587 to ¥300. Additionally, the conversion rate for the fourth series of convertible bonds will be revised from ¥646 to ¥300. These changes aim to prevent dilution of warrant holders' rights due to subsequent share issuances at below-market prices.

As a result of these adjustments, the anticipated funding amount for the 14th series of warrants will decrease from ¥11.84 billion to ¥6.097 billion. Specifically, the funds allocated for purchasing Ethereum cryptocurrency will now total 7,978 instead of 19,174, reducing the overall expected expenditure from 20,271 to 7,978. In addition, Quantum Solutions plans to acquire and cancel the remaining unexercised warrants of the 13th series on August 24, 2026, in conjunction with the issuance of new warrants and bonds. However, due to legal uncertainties surrounding the timing of these transactions, the company adopted a conservative approach, applying the adjusted exercise prices and conversion rates until the cancellation process is completed.

Going forward, Quantum Solutions intends to address the shortfall in capital raised through additional equity financing measures and future capital policies while maintaining its strategy for acquiring Ethereum cryptocurrency based on market conditions and funding needs.
