PATH to Buy Back Shares to Enhance Capital Efficiency
TOKYO, Aug 05 (Pulse News Wire) – PATH Corporation (3384.NG) announced today that its board of directors has approved a share buyback program based on Article 156 of the Companies Act, which was readapted to fit Article 165, Paragraph 3. The move follows confirmation of a major shareholder's intention to sell shares, aiming to avoid market supply-demand impacts while enhancing capital efficiency and enriching returns for shareholders through flexible capital policy execution.
The company plans to execute the buyback via the N-NEt3 off-market trading system on August 6 at 8:45 AM, with the purchase price set at the closing value of August 5, denoted as ¥750. The total number of shares to be repurchased is up to 40,000 ordinary shares, representing 2.21% of the outstanding shares excluding treasury stock. The maximum amount for the buyback is capped at ¥30 million.
The results of the buyback will be disclosed immediately after the conclusion of the trading session on August 6 at 8:45 AM. However, due to market conditions, there is a possibility that the entire or part of the planned buyback might not occur. Additionally, the buyback will proceed based on matching sell orders corresponding to the intended acquisition volume.
As of now, the company holds 163,688 treasury shares out of a total of 1,806,312 outstanding shares excluding treasury stock.
