Ohmori to Divest Port Civil Engineering Unit
TOKYO, Jul 21 (Pulse News Wire) – Ohmori CO.,LTD. (1844.T) announced today that its board of directors approved the sale of all shares held in its subsidiary, Port Civil Engineering Co., Ltd.
(hereinafter referred to as “Port Civil”). The decision was made due to persistent challenges in securing profitable contracts within the civil engineering sector, leading to subpar performance below expectations. Port Civil, established on May 2, 2005, specializes in port, river, levee, and bridge construction projects. It had a capital of ¥20 million and was wholly owned by Ohmori CO.,LTD. until now. The company's recent three-year financial highlights showed fluctuating results, with total assets standing at ¥413.6 million in fiscal 2025, down from ¥682.1 million in fiscal 2024.
The divestiture involves transferring 400 shares to Sun/Shield Kabushiki Kaisha, located in Aichi Prefecture. The transaction is set to take place on July 31, 2026, pending contract finalization on July 22, 2026. Ohmori CO.,LTD. expects the impact on its overall operations to be minor, maintaining its previously forecasted fiscal 2026 July-term consolidated operating profit of ¥731 million and net income of ¥497 million. Ohmori CO.,LTD. remains optimistic about its core construction business and anticipates no changes to its future outlook.
