Ohashi Technica to Dispose of Shares for Employee Benefit Plan
TOKYO, Aug 06 (Pulse News Wire) – OHashi Technica Inc. (7628.T) resolved at its board meeting held today to dispose of self-held shares as part of its introduction of a stock grant trust program (J-ESOP).
The disposal will take place on August 21, 2026, involving ordinary shares totaling 100,000. Each share will be sold at a price of ¥1,129 per share, resulting in a total disposal amount of ¥112.9 million. The shares will be transferred to Nippon Custodian Bank Co., Ltd. (Trust E Account). This transaction is aimed at implementing the J-ESOP plan, which was announced on May 12, 2026. It involves transferring shares to employees based on the stipulated stock grant regulations set by the company and Ohashi Research Industry Co., Ltd. for the five fiscal years ending March 31, 2031.
The number of shares disposed represents approximately 0.39% of the outstanding shares as of March 31, 2026 (0.39% of the total voting rights). The J-ESOP trust will be managed by Mizuho Trust & Banking Co., Ltd., with Nippon Custodian Bank Co., Ltd. acting as the sub-trustee. The purpose of the trust is to distribute company shares or their monetary equivalent to eligible employees according to the stock grant provisions. The trust agreement will be finalized on August 21, 2026, and the trust period will commence on the same day without a fixed end date, continuing as long as the J-ESOP remains active. The disposal price was determined based on the closing price of OHashi Technica's ordinary shares on the Tokyo Stock Exchange Prime Market on the trading day immediately preceding the board resolution date, which was ¥1,129. This approach reflects the fair market value of the company’s equity and is deemed reasonable.
