Nomura System Corporation System to Allocate Restricted Shares to Employees on Sept 25

– Nomura System Corporation Co,ltd. (3940.T) announced today that its board of directors resolved to allocate restricted shares to employees on September 25, 2026.

A total of 961,400 ordinary shares will be distributed, with each share valued at ¥117. The total allocation amount is ¥112.5 million. The shares will be allocated to 134 employees who will receive a combined monetary claim of ¥112.5 million. The purpose of this allocation is to enhance employee engagement and encourage long-term commitment. To achieve this, the company introduced a restricted stock grant program in February 2021, aimed at fostering greater value-sharing among shareholders and improving the company's long-term enterprise value. The restricted period for these shares will last approximately five years, ending on August 31, 2031.

Under the agreement, during the restriction period from September 25, 2026, to August 31, 2031, employees cannot sell, pledge, or otherwise dispose of their allocated shares without meeting specific conditions. The restrictions will be lifted upon completion of the five-year term, contingent on continuous employment status. In cases of retirement due to normal age or other valid reasons recognized by the board, partial lifting of restrictions based on tenure will apply. If an employee leaves before the end of the restriction period without a valid reason, the company will acquire the shares. The shares will be managed through a dedicated account opened at Okasan Securities Co., Ltd. to ensure compliance with the restrictions.

Additionally, in the event of significant organizational changes such as mergers or spin-offs approved by the board, the company reserves the right to lift restrictions and acquire remaining shares accordingly.
