Nifco Announces Share Disposition Plan for Executive Compensation

The trust agreement, established on August 22, 2016, involves Mitsubishi UFJ Trust and Banking Corporation and Japan Master Trust Bank Co., Ltd. as co-trustees. The trust duration extends until August 31, 2029, with the trustee exercising no voting rights. The repurchase price was determined based on the closing price of NIFCO's shares on the Tokyo Stock Exchange on July 30, 2026, adjusted for premiums over recent average prices.

The audit committee confirmed the fairness of the valuation method used.
