Nichidai Nichi Dai to Distribute Restricted Shares to Executives and Directors
TOKYO, Jul 23 (Pulse News Wire) – Nichidai Corporation (6467.T) resolved to distribute restricted shares as part of its compensation plan during a board meeting held . The distribution will take place on August 20, 2026, involving ordinary shares worth ¥330 per share, totaling ¥5.2 million.
Two directors and four executive officers and department heads will receive the shares within the limits set by the company's incentive program approved at the May 24, 2025 shareholders' meeting. The purpose of this distribution is to align executives’ interests with those of shareholders by encouraging contributions to stock price appreciation and corporate value enhancement. The total monetary compensation amounting to ¥5.2 million will be converted into restricted shares, with the number of shares being determined based on individual contributions. The dilution impact of this issuance is considered minor, representing approximately 0.17% percent of the outstanding shares as of July 23, 2026.
Additionally, the shares come with restrictions on their transferability until either the end of the fiscal year or until the recipients cease holding management positions. In cases of early departure due to valid reasons, the company reserves the right to reclaim the shares without compensation. Shareholders will retain control over the shares through accounts managed by SMBC Nikko Securities. In the event of significant organizational restructuring, such as mergers or spin-offs, the company may lift some restrictions earlier based on the timeline of the restructuring approval process.
