M・H・Group Acquires Oasis LH Shares, Launches New Leisure Dining Business

– M・h・group LTD. (9439.T) announced today that its board approved the acquisition of 510 shares of Oasis LH Co., making it a subsidiary.

As part of this move, Oasis LH’s wholly-owned subsidiary Lemon Company Tokyo will become MH Group’s grandchild company. Additionally, MH Group decided to launch a new leisure dining business operated by Lemon Company Tokyo within various amusement facilities. The acquisition and new venture align with MH Group’s growth strategy aimed at enhancing long-term enterprise value through strategic mergers and acquisitions. The group plans to expand its salon operation business, increase sales of private brand products, strengthen support services, and integrate AI and DX initiatives. With the addition of the leisure dining business, MH Group expects to create synergies and explore new revenue opportunities across multiple personal service sectors. Key details of the transaction include a total estimated cost of approximately ¥250 million for share purchases and due diligence expenses.

Funding for the deal will come from a rights issue completed on May 22, 2026. The new leisure dining business is set to commence operations on July 30, 2026. Oasis LH was established on June 23, 2026, with capital of ¥10 million. Its main shareholder, Lemon Holdings Co., holds 100.00% of the shares. Lemon Company Tokyo, also founded on June 23, 2026, operates the leisure dining business with capital of ¥10 million. Lemon Holdings Co., which provides consulting services, lent a combined amount of ¥130 million to Oasis LH and Lemon Company Tokyo on June 30, July 7, and July 9, 2026.
