MAX to Buy Back Shares via TO-STNET-3 System

– MAX CO.,LTD. (6454.T) announced today that it will conduct a share buyback through the TO-STNET-3 system on July 30, 2026.

The company plans to purchase up to 3,000,000 shares at a total value not exceeding ¥5.127 billion. The buyback will commence at 8:45 AM on April 30, 2026. The decision was made during a board meeting held on April 30, 2026, based on provisions related to Article 156 of the Companies Act, which applies to self-share repurchases. The buyback will take place exclusively within the TO-STNET-3 trading session without altering other trading systems or times. The company noted that changes to the number of shares to be acquired will not occur.

However, due to market conditions, there is a possibility that some or all of the intended purchases might not proceed. The results of the buyback will be disclosed immediately after the trading session ends on April 30, 2026. In addition, the company highlighted that the buyback plan includes selling orders equivalent to the planned acquisition volume. As of July 30, 2026, the cumulative number of shares purchased since the resolution on April 30, 2026, stands at 428,700 with a total cost of ¥737.6 million. The initial resolution set a cap of 4,000,000 shares, representing 2.22% of the outstanding shares excluding treasury stock, with a maximum expenditure limit of ¥7.100 billion.

The buyback period was originally scheduled from May 1, 2026, to December 31, 2026.
