M3 Grants Stock Options to Employees and Subsidiary Executives
TOKYO, Aug 06 (Pulse News Wire) – M3,Inc. (2413.T) granted stock options to 277 employees and subsidiary executives aimed at boosting long-term performance and shareholder value.
The options allow recipients to purchase ordinary shares at a fixed price, with adjustments made based on future stock splits or mergers. A total of 1,028 time-based options and 9,215 share-based options were awarded, exercisable from August 07, 2028 to August 21, 2056. Exercise conditions stipulate that partial exercise is not allowed, and any changes due to organizational restructuring will follow specific guidelines outlined in the agreement.
The company retains the right to acquire unexercised options under certain circumstances, such as significant organizational changes or employee departure. Additionally, the grant includes provisions for adjusting the number of shares and exercise prices in case of corporate actions like stock splits or mergers. Exercise prices will be calculated based on average closing prices from the month preceding the grant date, subject to rounding up to avoid fractional shares.
