Logos Holdings TO SUPPORT AERA HOME'S BUSINESS REORGANIZATION

TOKYO, Jul 16 (Pulse News Wire) – Logos Holdings Inc. (205A.T) resolved at a board meeting held today to support Aera Home's business restructuring through a subsidiary, LHD-1 Corp.

The two companies signed a sponsor agreement aimed at acquiring Aera Home’s operations via a spin-off merger effective Oct. 1, 2026. Aera Home filed for civil rehabilitation proceedings with the Tokyo District Court on the same day. Under the plan, Logos Holdings will inject digital marketing expertise and operational efficiency measures to improve profitability and stabilize cash flow.

Aera Home, founded in 1963, offers high-performance homes but faces challenges due to recent economic conditions. Key financial figures show Aera Home had revenue of ¥9.114 billion in the latest fiscal year. The deal includes transferring necessary assets and liabilities related to Aera Home’s custom home building business, excluding real estate financing activities. Logos Holdings will also take over customer contracts and ensure project completion.

The transaction involves a debt payment of ¥6.7 million and a temporary working capital loan of ¥300 million.
