Kuriyama Holdings Introduces Employee Incentive Plan for Overseas Staff
TOKYO, Aug 06 (Pulse News Wire) – Kuriyama Holdings Corporation (3355.T) announced that its board of directors, held, approved the introduction of an employee incentive plan targeting staff at some overseas subsidiaries. The plan, known as the Employee Stock Ownership Plan (ESOP) Trust, aims to enhance employee engagement and boost productivity by offering stock grants based on performance criteria.
Under the ESOP Trust mechanism, Kuriyama will allocate shares from its treasury stock pool. As of June 30, 2026, the company holds 2,132,433 treasury shares, out of which 70,000 shares will be transferred to the ESOP Trust. Detailed information on the share allocation can be found in the separate press release titled “Transfer of Restricted Shares to Employee Holding Association and Introduction of Share Granting ESOP Trust.” The ESOP Trust will operate through a trust agreement set up with Mitsubishi UFJ Trust and Banking Corporation and Sumitomo Mitsui Trust Bank. The trust will acquire Kuriyama’s ordinary shares totaling ¥120 million via a third-party allotment of treasury shares.
The trust period is scheduled from August 21, 2026, to December 31, 2030. During this period, employees meeting specified conditions will receive company shares, fostering a sense of ownership and aligning their interests with those of shareholders. In addition, the company decided to dispose of ¥120 million treasury shares to fund the ESOP Trust. Any residual shares at the end of the trust period will either be used to extend the ESOP program or returnedto Kuriyama for cancellation upon board approval.
Excess dividend income generated during the trust period will be donated to non-affiliated organizations if the ESOP Trust is terminated.
