Komeri Plans Share Buyback and Cancellation
TOKYO, Jul 28 (Pulse News Wire) – Komeri CO.,LTD. (8218.T) decided during its board meeting held on July 28, 2026 to repurchase shares based on the provisions of Article 459(1)(1) of the Companies Act.
Additionally, the company resolved to cancel the repurchased shares according to Article 178 of the same act. The reasons for the share buyback include enhancing capital efficiency and enabling flexible capital policies in response to changing business environments. All acquired shares will be canceled. The total number of shares available for purchase is up to 2,200,000 (representing 4.65% of the outstanding shares excluding treasury shares).
The maximum amount for the repurchase is set at ¥8.800 billion. The repurchase period runs from July 29, 2026 until March 24, 2027, through open-market purchases under a trading mandate agreement on the Tokyo Stock Exchange. Regarding the cancellation of shares, Komeri plans to eliminate 2,200,000 shares (irrespective of the outcome of the repurchase), which constitutes 4.09% of the pre-cancellation outstanding shares. The scheduled cancellation date is March 31, 2027.
As of June 30, 2026, the company had 47,263,128 outstanding shares excluding treasury shares and held 6,546,040 treasury shares.
