Kanro Decides to Repurchase Shares and Cancel Them

– Kanro Inc. (2216.T) announced on July 31 that its board of directors had decided to repurchase shares based on Article 459, Paragraph 1 of the Companies Act and Clause 50 of its Articles of Incorporation.

Additionally, the company resolved to cancel the repurchased shares according to Article 178 of the Companies Act. For the purpose of returning value to shareholders and implementing flexible capital policies in response to changing business environments, the company plans to repurchase up to 1,100,000 ordinary shares, representing 2.61% of outstanding shares excluding treasury stock. The total amount for the share repurchase is set at a cap of ¥1.400 billion.

The repurchase will take place through the ToSTNeT-3 system on August 3, 2026, at 8:45 AM, based on the closing price of July 31, 2026. The results of the repurchase will be disclosed immediately after the trading session ends on August 3, 2026. Furthermore, the company intends to cancel 3,000,000 ordinary shares, which represent 7.11% of outstanding shares excluding treasury stock, on August 31, 2026.

As of June 30, 2026, the company held 3,764,500 treasury shares, including those held by the trust account for executive stock grants (995,400).
