Kamei Corp to Issue Restricted Shares to Executives and Employees
TOKYO, Jul 24 (Pulse News Wire) – Kamei Corporation (8037.T) announced plans to issue restricted shares as part of a compensation program. The company's board resolved to distribute ordinary shares valued at ¥3,755 per share on July 24, 2026, totaling ¥131.2 million.
The distribution includes 9 directors, 3 auditors, and 6 executives receiving 34,950 shares, while 181 employees will also participate. Under the program, shares will be subject to restrictions until various predetermined dates based on continued employment status. Directors and auditors' shares will be unrestricted upon continuous service through scheduled shareholder meetings, while employee shares will remain restricted until August 20, 2031.
Any unexercised shares will revert to the company under certain conditions. The issuance aims to incentivize long-term value creation and align interests with shareholders. The total cost of the program, funded by cash awards converted into stock, is ¥131.2 million.
The dilutive impact is considered minor, amounting to 0.11% relative to the current outstanding shares of 32,991,969 as of June 30, 2026.
